Terms of Service

The Service is operated by CryptoIQ, LLC, a Delaware limited liability company (“CryptoIQ,” “we,” “us,” or “our”). The CryptoIQ YouTube channel and the CryptoIQ software product operate as DBAs of that single entity.

By accessing or using the Service, creating an account, or subscribing to a paid plan, you agree to be bound by these Terms of Service and by our Privacy Policy, Refund & Cancellation Policy, and Disclaimer, each incorporated here by reference. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is not directed to children. You are responsible for ensuring that your use of the Service is lawful in your jurisdiction; nothing on the Service is offered or directed to residents of any jurisdiction where it would be unlawful.

CryptoIQ is a publisher of software, data, and general market research. It produces quantitative regime classifiers and related charts, tables, and commentary describing market conditions across digital-asset markets.

Not financial advice. Nothing on the Service constitutes financial, investment, tax, or legal advice, or a recommendation to buy, sell, hold, or otherwise transact in any digital asset or security. Everything CryptoIQ publishes is general, impersonal market commentary distributed on a regular schedule to all users alike, and is not tailored to any individual's financial situation, holdings, objectives, or risk tolerance.

No advisory or fiduciary relationship. CryptoIQ is not an investment adviser, broker-dealer, commodity trading adviser, or fiduciary, and using the Service does not create an advisory, fiduciary, or other professional relationship between you and CryptoIQ. You make your own decisions and are solely responsible for them.

Risk.Digital assets are volatile and high-risk; you may lose some or all of your capital. Past performance — including any historical accuracy figures cited on the Service — does not guarantee or indicate future results. Some features require an account. Authentication and account profiles are handled by our identity provider, Clerk, which collects your email address and basic profile information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use. You agree to provide accurate information and to keep it current.

Paid membership is offered as a recurring subscription at $119 per month (or the then-current price displayed at checkout). Payments are processed by Stripe through Clerk Billing; we do not store your full card details. By subscribing, you authorize us and our payment processors to charge your payment method on a recurring monthly basis until you cancel.

Auto-renewal. Your subscription renews automatically at the end of each billing period at the then-current rate unless you cancel before the renewal date.

Price changes. We may change subscription prices. Any price change affecting your subscription will take effect no earlier than your next billing period after we provide reasonable advance notice (for example, by email or in-app). Continuing your subscription after a price change takes effect constitutes acceptance of the new price. Existing subscribers are not retroactively charged a higher rate within a billing period already paid.

Taxes. Stated prices may not include applicable taxes, which may be added where required.

You may cancel your subscription at any time through your account billing settings. On cancellation, your access continues through the end of the current billing period and then does not renew. Subscriptions are non-refundable. Full details are in our Refund & Cancellation Policy.

You agree that you will not, and will not permit anyone to:

• scrape, crawl, harvest, or use automated means to extract data or content from the Service, except as expressly permitted in writing;
• copy, resell, redistribute, sublicense, or publicly display the Service's proprietary data, scores, methodology, charts, or research, in whole or in part;
• reverse-engineer, decompile, or attempt to derive the underlying models, weights, or methodology of any CryptoIQ product;
• share, transfer, or provide access to your account or paid content with anyone outside your subscription;
• circumvent or attempt to circumvent any paywall, rate limit, authentication, or other access control;
• interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its infrastructure; or
• use the Service in violation of any applicable law or regulation.

The Service and all of its content — including the CryptoIQ name and marks, scores, models, methodology, software, charts, tables, text, and design — are owned by CryptoIQ or its licensors and are protected by intellectual-property laws. Subject to these terms and your subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, internal use. No other rights are granted, and all rights not expressly granted are reserved. The underlying methodology and weights are proprietary and confidential.

The Service relies on third-party data providers and service providers (for example, on-chain and market-data sources, payment processing, hosting, and authentication). Those providers may revise, restate, delay, or interrupt their data or services, and we do not independently audit them. Any score or figure reflects the data as it stood at the time of the relevant refresh. We are not responsible for third-party content or services.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Service will be uninterrupted, error-free, or that any data, score, or research is accurate, complete, or reliable. You use the Service at your own risk.

To the maximum extent permitted by law, CryptoIQ and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or trading or investment losses, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless CryptoIQ and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these terms, or your violation of any law or the rights of any third party.

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction, except where applicable law provides otherwise.

We may suspend or terminate your access to the Service at any time if you violate these terms or if we discontinue the Service. You may stop using the Service at any time and may cancel your subscription as described above. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — survive.

We may update these terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.
